Please read these Terms of Service carefully before using PreOrder. By creating an account or using our platform, you agree to be bound by these terms.

Acceptance of Terms

By accessing or using the PreOrder platform ("Service"), you agree to comply with and be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

We reserve the right to update or modify these terms at any time. Continued use of the Service after changes constitutes acceptance of the new terms.

Eligibility

You must be at least 18 years of age to create an account and use PreOrder. By registering, you confirm that you meet this requirement and that all information you provide is accurate and complete.

Your Account

You are responsible for maintaining the confidentiality of your account credentials. You agree to:

  • Provide accurate and truthful registration information
  • Keep your password secure and not share it with others
  • Notify us immediately of any unauthorized account access
  • Be responsible for all activity that occurs under your account

Pre-Order Services

PreOrder allows customers to place advance orders with local shops. By placing a pre-order, you acknowledge that:

  • Pre-orders are subject to shop availability and confirmation
  • Payment terms are set by individual shops and may vary
  • Cancellation and refund policies are determined by each shop
  • PreOrder acts as a platform facilitator and is not responsible for shop-specific disputes

Prohibited Conduct

You agree not to engage in any of the following activities:

  • Using the Service for any unlawful or fraudulent purpose
  • Attempting to gain unauthorized access to our systems
  • Submitting false, misleading, or deceptive information
  • Harassing, threatening, or abusing other users or shop owners
  • Reverse engineering or copying any part of our platform

Limitation of Liability

PreOrder is provided on an "as is" basis. We do not guarantee uninterrupted or error-free service. To the fullest extent permitted by law, PreOrder shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service.

Termination

We reserve the right to suspend or terminate your account at our sole discretion if you violate these Terms of Service, engage in fraudulent activity, or for any other reason we deem appropriate. You may also delete your account at any time by contacting our support team.

Governing Law

These Terms of Service are governed by the laws of Sri Lanka. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.

Merchant Terms of Service

These Merchant Terms govern your use of PreOrder as a shop owner or vendor. By registering as a merchant, you agree to these terms in addition to our general Terms of Service.

Merchant Eligibility & Verification

To register as a merchant on PreOrder, you must:

  • Be a legally registered business or sole trader operating in your jurisdiction
  • Be at least 18 years of age and legally capable of entering a binding agreement
  • Provide complete, accurate, and verifiable business information including legal name, address, registration number, and contact details
  • Have the legal authority to bind your business to this agreement

PreOrder reserves the right to verify your identity and business details at any time. Providing false or incomplete information is grounds for immediate permanent account termination.

Platform Authority & Merchant Obligations

By registering as a merchant, you acknowledge that preorder.work holds full authority over all aspects of platform operation, including but not limited to listing approval, order flows, fee structures, and dispute outcomes. Merchants operate on the platform at PreOrder's sole discretion.

You are required to:

  • Accurately list all products, prices, and availability โ€” no hidden fees or bait-and-switch pricing
  • Keep all shop information current; outdated listings that mislead customers may be removed without notice
  • Set realistic and legally compliant pickup/delivery windows
  • Comply with all applicable local laws, tax obligations, and consumer protection regulations
  • Respond to platform communications within 48 hours

Pre-Order Fulfillment Standards

Confirmed orders are a binding commitment. You agree to:

  • Confirm or reject orders within the window specified in your shop settings
  • Fulfill every confirmed order accurately, completely, and on time
  • Notify customers immediately of any delay, shortage, or inability to fulfill
  • Honor the exact price, quantity, and terms displayed at the time of order โ€” no post-order price changes
  • Maintain sufficient inventory or production capacity to cover accepted orders

Repeated failure to fulfill confirmed orders will result in account suspension and may be reported to relevant consumer protection authorities.

Payments & Transactions

All transactions are solely between the merchant and their customers. PreOrder is a shop management platform โ€” we provide the tools to open, run, and grow your shop online. We do not process, hold, collect, control, or have any access to any payments or funds at any point.

As a merchant, you are the sole owner of all revenue generated through your shop. This means:

  • You choose your own payment methods โ€” cash on pickup, bank transfer, mobile wallet, or any other method you and your customers agree on
  • PreOrder does not act as a payment gateway, escrow service, or financial intermediary in any transaction
  • Money paid by customers goes directly to you โ€” PreOrder has no involvement in or visibility over these funds
  • Our subscription packages cover platform access, shop setup, and features only โ€” not payment processing services
  • You are entirely responsible for collecting payment, issuing receipts, handling refunds, and resolving any payment-related disputes directly with your customers
  • PreOrder bears no liability whatsoever for unpaid orders, failed payments, chargebacks, customer non-payment, or any financial loss
  • You are solely responsible for all tax obligations, invoicing requirements, and financial compliance applicable in your jurisdiction

If a customer raises a payment complaint with PreOrder, we will direct them to resolve it directly with you as the merchant. PreOrder will not adjudicate financial disputes between merchants and customers.

Refunds, Disputes & Platform Decisions

Since PreOrder does not handle payments, refunds are entirely the merchant's responsibility and must be settled directly between you and your customer. However, PreOrder does oversee platform conduct and order integrity. The following rules apply:

Refund Policy:

  • You must clearly display your refund and cancellation policy on your shop profile before accepting orders
  • Your policy must be fair, transparent, and accessible to customers at the time of ordering
  • If you fail to fulfill a confirmed order, you are expected to issue a full refund to the customer promptly and directly
  • Repeatedly refusing legitimate refunds for unfulfilled orders may result in account suspension

Dispute Resolution:

  • If a customer raises a dispute through PreOrder regarding order fulfillment, accuracy, or merchant conduct, PreOrder will review the case
  • Both parties must respond to PreOrder's inquiry within 5 business days and provide all relevant evidence (order records, communication, photos, etc.)
  • Failure to respond is treated as acceptance of the opposing party's account of events
  • For platform-related matters (account conduct, listing accuracy, policy violations), PreOrder's decision is final and binding
  • PreOrder does not adjudicate financial disputes โ€” money matters remain between merchant and customer; we may however suspend a merchant whose financial conduct harms customers or the platform's reputation

Cancellations:

  • Customers may cancel orders according to your stated policy
  • If you cancel a confirmed order without valid justification, PreOrder may flag your account and notify the customer
  • Repeated merchant-initiated cancellations will be treated as a service reliability issue and may result in reduced platform visibility or suspension

Strictly Prohibited Conduct

The following are zero-tolerance violations resulting in immediate permanent account termination:

  • Listing, selling, or facilitating counterfeit, illegal, stolen, or prohibited goods or services
  • Any form of fraud, misrepresentation, or deception toward customers or PreOrder
  • Money laundering, structuring, or using the platform for any illegal financial activity
  • Manipulating order data, reviews, ratings, or platform metrics
  • Soliciting customers to transact outside of PreOrder to avoid platform fees
  • Unauthorized use, sale, or transfer of customer data obtained through the platform
  • Creating multiple accounts to evade suspension or bans
  • Threatening, harassing, or retaliating against customers, staff, or PreOrder personnel

Fraudulent Account Deactivation

PreOrder monitors all merchant activity for signs of fraud, abuse, and policy violations. We reserve the right to:

  • Immediately and permanently deactivate any merchant account suspected of fraudulent activity, without prior notice
  • Freeze all associated funds pending investigation for an indefinite period
  • Cancel all pending orders and notify affected customers
  • Pursue recovery of losses caused by fraudulent activity through legal action
  • Permanently ban associated individuals from re-registering on the platform under any identity

A deactivated account may not be reinstated until a full investigation is complete and PreOrder is satisfied that no violations occurred.

Disclosure to Legal Authorities

PreOrder is committed to full cooperation with law enforcement and legal proceedings. By registering as a merchant, you explicitly acknowledge and consent that:

  • PreOrder has the authority and obligation to disclose your account information, transaction history, identity details, and any relevant platform data to law enforcement agencies, regulatory bodies, courts, or other legal authorities when required by law or court order
  • PreOrder may proactively report suspected fraud, financial crimes, illegal activity, or consumer harm to the relevant authorities without prior notice to you
  • Such disclosures may occur even if your account is active and you have not been formally charged with any offense
  • PreOrder will not be held liable for any consequences arising from legally required or good-faith disclosures to authorities

We take fraud and illegal activity seriously. Anyone attempting to use PreOrder for unlawful purposes should be aware that we will not hesitate to assist authorities in identifying and prosecuting wrongdoers.

Platform Owner Protections

PreOrder and its owners, operators, directors, and employees are protected from liability arising from merchant conduct. Specifically:

  • PreOrder is not responsible for any loss, injury, or damage caused by a merchant's products, services, or conduct
  • Merchants indemnify and hold PreOrder harmless from any claims, fines, legal costs, or damages resulting from merchant violations
  • PreOrder may seek full reimbursement from a merchant for any costs incurred as a result of the merchant's breach of these terms
  • PreOrder's total liability to any merchant shall not exceed the fees collected from that merchant in the preceding 30 days

Termination & Governing Law

PreOrder may terminate any merchant account at any time, with or without cause, with or without notice. Upon termination, all pending payouts are subject to a final review period of up to 90 days.

These Merchant Terms are governed by the laws of Sri Lanka. Any disputes shall be resolved under the exclusive jurisdiction of the courts of Sri Lanka. Merchants waive any right to class-action proceedings against PreOrder.

  • Create and manage your PreOrder account
  • Process and confirm your pre-orders with local shops

  • Comply with legal obligations

Sharing Your Information

We do not sell your personal data. We may share your information in the following limited circumstances:

  • With shops โ€” Your name and contact details are shared with the shop you are placing an order with
  • Service providers โ€” Third-party services that help us operate the platform (e.g., SMS providers), bound by confidentiality agreements
  • Legal requirements โ€” When required by law or to protect the rights and safety of users

Data Security

We take reasonable technical and organizational measures to protect your personal data against unauthorized access, loss, or misuse. Passwords are stored in encrypted form and sensitive data is transmitted over secure connections.

However, no method of transmission over the internet is 100% secure. We cannot guarantee absolute security of your data.

Cookies & Local Storage

PreOrder uses browser local storage to save your session and preferences. We do not currently use third-party tracking cookies. You may clear your browser storage at any time through your browser settings.

Your Rights

You have the right to:

  • Access the personal data we hold about you
  • Request correction of inaccurate information
  • Request deletion of your account and associated data
  • Withdraw consent for marketing communications at any time

Children's Privacy

PreOrder is not intended for use by anyone under the age of 18. We do not knowingly collect personal data from minors. If we become aware that a minor has registered, we will promptly delete their account and data.

We may update this Privacy Policy from time to time. When we do, we will update the "Last updated" date at the top of this page. We encourage you to review this policy periodically to stay informed about how we protect your information.
